Liability Waiver and Indemnification Liability Waiver

Welcome to Chinese Internet & Networking Association (the "Association"). Your membership of the Association and/or your participation in activities (the "Activities") organized, sponsored or promoted by the Association are subject to this Liability Waiver and Indemnification ("Waiver"). The Association reserves the right to update and change the time and location of the events as well as the price of the membership and event fee, from time to time and without notice to you, this Waiver.

You represent and warrant that your participation in the Association and Activities is for legitimate purposes, without any intent to commit any misconduct or wrongful omission, including, but not limited to, misappropriation of any co-participant's confidential information, trade secret(s) or any other intellectual property. You acknowledge and agree that the Association may suspend or terminate your membership of the Association and/or your participation in any of the Activities at any time if the Association, in its sole discretion, believes that you have (i) violated or tried to violate the rights of others; or (ii) have acted inconsistently with the spirit or letter of this Waiver, and the Association may seek any and all resource against you for any of your negligence, misconduct or wrongful omission.

You for yourself and assigns, hereby release the Association, as well as its sponsors, representatives, directors, officers, consultants and advisors (collectively, "Representatives"), from any and all claims, demands, and causes of action arising from your membership of the Association or your participation in the Activities, including, but not limited to, loss of trade secret(s), breach of confidentiality obligation, breach of contract and misrepresentation. Your participation in the Association and Activities will be at your own risk, and neither the Association nor the Representatives owe duty of care or confidentiality to you.

You agree to defend, indemnify and hold harmless the Association and the Representatives from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your misrepresentation or breach of any terms and conditions of this Waiver, your participation in the Association or the Activities, or your violation of any rights of another person or entity.

You represent that you have read and understood this Waiver and acknowledge that the Association is relying upon this Waiver in permitting you to join the Association and/or participate in the Activities. The parties intend no rule of construction, hereto, and none shall be employed in interpreting this Waiver. The laws of the State of California govern this Waiver, without giving effect to its conflicts of law rules. The terms and conditions set forth in this Waiver constitute the entire agreement between the parties respecting the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings, both written and oral, regarding such subject matter. If any provision of this Waiver is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the such documents remain in full force and effect. Both you and the Association agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California.
